Terms of Service

Welcome to Edustream. Please read these Terms of Service ("Terms") carefully before using our school management software, applications, and related services (collectively, the "Service"). 

By accessing or using the Service, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a school, school district, university, or other educational institution (an "Institution"), you represent that you have the authority to bind that Institution to these Terms.

1. Description of Service

Edustream provides a cloud-based school management and information system designed to streamline administration, tracking, communication, and reporting for educational institutions. Features include, but are not limited to, student information registries, grading tools, attendance tracking, and communication portals.

2. Account Registration and Security

2.1 Institution Accounts

To use Edustream, the Institution must create an administrative account. The Institution is responsible for provisioning and managing accounts for its staff, teachers, students, and parents (collectively, "Authorized Users").

2.2 User Credentials

The Institution and its Authorized Users are responsible for maintaining the confidentiality of all login credentials. You agree to notify Edustream immediately of any unauthorized use of your account or any other breach of security. Edustream cannot and will not be liable for any loss or damage arising from your failure to safeguard credentials.

3. Data Privacy and Educational Records

3.1 Ownership of Institutional Data

All data, information, grades, attendance records, and communications uploaded to the Service by the Institution or its Authorized Users remains the property of the Institution ("Institution Data"). Edustream claims no ownership rights over Institution Data.

3.2 Compliance with Educational Privacy Laws

Edustream handles data in compliance with standard international data protection and educational privacy frameworks.

• Student Privacy: To the extent that Institution Data includes personally identifiable information from education records, Edustream acts as a "School Official" with a legitimate educational interest.

• COPPA Compliance: If the Institution allows students under the age of 13 to use the Service, the Institution represents and warrants that it has the authority to consent, and does hereby consent, to Edustream's collection and use of personal information from such students solely for educational purposes.

3.3 Data Use Limitations

Edustream will not sell, rent, or lease Institution Data or student data to third parties. We will not use student data to target advertising. We use student data strictly to provide and improve the educational service.

4. Acceptable Use Policy

You agree that you and your Authorized Users will not use the Service to:

• Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.

• Infringe upon the intellectual property rights of Edustream or any third party.

• Introduce viruses, trojans, worms, logic bombs, or other malicious or technologically harmful material.

• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service or the servers on which it is hosted.

• Use the system for any unauthorized commercial or marketing purposes.

5. Fees, Billing, and Subscriptions

5.1 Subscription Fees

The Institution agrees to pay all fees specified in the applicable Order Form or Subscription Agreement. Except as otherwise specified, fees are based on the subscription tier and number of active students/users purchased and not actual usage.

5.2 Renewal and Termination

Subscriptions will automatically renew for additional periods equal to the expiring subscription term unless either party gives written notice of non-renewal at least thirty (30) days before the end of the relevant subscription term.

5.3 Non-Payment

Unpaid fees are subject to interest charges. Edustream reserves the right to suspend access to the Service if payments are more than thirty (30) days overdue, following written notice to the Institution.

6. Intellectual Property Rights

Edustream, including its software, logos, user interfaces, designs, and underlying code, is the sole and exclusive property of Edustream and its licensors. These Terms grant the Institution a limited, non-exclusive, non-transferable, revocable license to access and use the software during the subscription term. You may not copy, modify, distribute, sell, or lease any part of our software, nor may you reverse engineer or attempt to extract the source code.

7. Service Availability and Support

Edustream aims to maintain a service availability uptime of 99.9% excluding scheduled maintenance. We will make reasonable commercial efforts to notify the Institution of scheduled downtime at least 48 hours in advance. Technical support will be provided in accordance with the Service Level Agreement (SLA) attached to the Institution’s specific order form.

8. Limitation of Liability and Warranties

Important Limitation: Please note the following liability constraints standard for cloud-hosted educational utilities.

8.1 "As Is" Warranty

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Edustream makes no warranties, express or implied, regarding the accuracy, reliability, or completeness of the Service, or that the Service will be uninterrupted or error-free.

8.2 Limitation of Damages

To the maximum extent permitted by law, in no event shall Edustream be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or inability to access the Service. Edustream’s total liability for any claims under these terms is limited to the amount paid by the Institution to Edustream during the twelve (12) months immediately preceding the event giving rise to liability.

9. Data Retention and Deletion

Upon expiration or termination of the subscription, Edustream will retain Institution Data for a standard grace period of sixty (60) days to allow the Institution to export its records. After this 60-day window, Edustream reserves the right to permanently delete all Institution Data from its production systems in compliance with data privacy regulations, unless otherwise required by law or a separate data protection agreement.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [NIgeria Jurisdiction], without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in NIgeria.

11. Changes to These Terms

We may modify these Terms from time to time. If we make material changes that impact the rights or responsibilities of the Institution or its Users, we will notify the registered administrative contact via email or through a prominent notice within the software interface at least thirty (30) days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
